Iberia Group, a Gurugram-based distributor of international dermatology brands, set out to establish a direct corporate presence close to its European brand partners and in a new regional market.
As Iberia Group’s shareholders and directors are based in India, each market entry required documentation to be prepared, certified and filed in accordance with a distinct legal system.
Serving as Iberia Group’s single adviser across all three countries, Vorx managed each expansion from initial structuring through to final handover. Iberia Group now holds registered entities in Spain, Poland and Australia.
About Iberia Group
Iberia Group distributes advanced dermatological cosmetics, skincare and haircare products to consumers and clinical professionals. Iberia Group operates from India, the United Kingdom and Thailand, and serves markets across South Asia, including Sri Lanka, Nepal, Bangladesh and Myanmar.
Iberia Group’s portfolio includes established international brands such as Actium Plus, PROCALP, Neutriderm, ISIS Pharma, Dermavive, Foltene Pharma and Skinmed, many of which are headquartered in Europe.
To strengthen these partnerships and support regional distribution, Iberia Group resolved to establish local entities, beginning in Europe and subsequently in Australia.
The Challenge Iberia Group Faced
Expanding into three jurisdictions required Iberia Group to address a distinct set of requirements in each market. As an India-based group, Iberia Group faced the following key considerations:
Distinct legal frameworks: Spain, Poland and Australia each maintain their own company law, registration authority, documentation standards and post-registration obligations. A process that succeeds in one jurisdiction cannot simply be replicated in another.
Documentation for foreign shareholders: Documents issued in India had to be prepared, notarised and, where required, legalised or translated to satisfy each country’s standards.
Group consistency: Each new entity needed to align with Iberia Group’s existing structure, ensuring that ownership, governance and reporting remained clear.
Management bandwidth: Iberia Group’s founders were leading an active multi-brand business. Managing overseas registrations directly would have diverted considerable time and attention from core operations.
Risk of delay: Incomplete filings or incorrectly formatted documents can result in queries or rejections, potentially affecting Iberia Group’s commercial plans and partner commitments.
Vorx Consultancy's Approach to Iberia Group
Rather than engaging separate service providers in each country, Iberia Group required one adviser with a thorough understanding of the group, capable of managing every expansion end to end. Vorx structured the engagement as a phased expansion programme built on four core principles:
A single point of contact: One dedicated Vorx team managed Spain, Poland and Australia. Iberia Group’s founders received a single set of instructions and had one channel for all queries.
Group structure before filings: Before any documentation was prepared, Vorx and Iberia Group’s founders agreed on shareholding, directorship and each new entity’s relationship with the group companies in India, the UK and Thailand. This ensured consistency across every subsequent filing.
A dedicated plan for each jurisdiction: Vorx did not rely on a standard template. For each market, it prepared a country-specific checklist covering required documents, certification of Indian-issued papers and the sequence of steps.
Documents finalised in India first: Every document was reviewed and completed with Iberia Group’s founders before being dispatched abroad, significantly reducing the likelihood of queries and resubmissions.
In each country, Vorx coordinated the filing with the relevant registration authority, responded to any queries raised during review, and handed over the complete records to Iberia Group along with a clear outline of the subsequent compliance steps.
Each new expansion has built upon the documentation, knowledge and structure already established, ensuring Iberia Group never has to start afresh when entering a new market.
The Outcome for Iberia Group
Iberia Group now operates registered entities in Spain, Poland and Australia, each established with Vorx’s support.
A direct presence in Europe: With entities in Spain and Poland, Iberia Group can now engage its European brand partners as a locally registered business.
Entry into Australia: The Australian entity extends Iberia Group’s reach beyond India, the UK, Thailand and South Asia into a new region.
A consistent group structure: All three entities were established in alignment with Iberia Group’s existing ownership and governance framework, keeping management and reporting clear.
Leadership focused on growth: With Vorx managing the expansion process, Iberia Group’s founders remained focused on brand partnerships and distribution.

Key Takeaways for Expanding Businesses
Establish the structure before filing: Agreeing on ownership and governance at the outset helps avoid costly restructuring later, particularly for groups operating across several countries.
Plan each jurisdiction independently: Requirements in Spain, Poland and Australia differ substantially; relying on a single template increases the risk of errors.
Begin foreign documentation early: For Indian shareholders, notarisation, legalisation and translation can take considerable time and should be planned from the outset.
Plan beyond registration: Tax registration, banking and ongoing compliance should be addressed alongside company formation.
