If your company has won a contract with an Omani ministry, public authority or state-owned company, a branch office can let you deliver it under your own name.
But here’s the rule many guides bury: Oman branch office registration is not open to every foreign company.
A branch is allowed only to perform a contract with a government or quasi-government body, or a project declared of national economic interest. Everything else in the process depends on that one condition.
This guide explains who qualifies, which documents you need, how registration works step by step, and what to set up instead if a branch isn’t the right fit. It’s written for foreign and Indian businesses that already have a registered parent company.
Who Can Register a Branch in Oman?
Under the framework that followed the Foreign Capital Investment Law (Royal Decree 50/2019), a foreign company can register a branch in Oman when it:
- Has a contract with an Omani government body, public authority or quasi-government entity, such as a state-owned company, or
- Is carrying out a project declared to be of national economic interest.
Before you spend time and effort on documents, run this quick eligibility check:
- Is your counterparty a government or quasi-government entity?
- Is the contract signed, and does it name your company exactly as registered at home?
- Will your work in Oman be limited to that contract?
- Is the parent comfortable carrying unlimited liability for the branch?
If any answer is no, a branch is probably the wrong vehicle. Some practitioners report that a letter of award may be accepted at an early stage, but plan on the signed contract being required, and confirm with the Ministry of Commerce, Industry and Investment Promotion (MOCIIP) for your case.
Three myths to ignore
You need an Omani local sponsor: Not for a branch. The parent company itself stands behind it, and the Foreign Capital Investment Law removed the general need for an Omani partner in most activities. Some older guides online still say otherwise.
Any foreign company can open a branch: It can’t. The government-contract condition applies. Businesses selling to private clients normally set up a subsidiary instead.
Oman has no VAT: Oman introduced VAT in April 2021. A branch making taxable supplies may need to register with the Tax Authority.
Is Your Company Eligible for an Oman Branch?
Not every foreign company qualifies for branch registration in Oman. Let Vorx Consultancy help you assess your eligibility and explore the right business structure.
Documents Required for Oman Branch Office Registration
The Omani government services portal lists three core documents for this service: the parent company’s commercial register certificate, its articles of association, and company meeting minutes (the board resolution). In practice, a complete application usually includes the following.
Document | Purpose |
Incorporation Certificate | Proves parent company registration |
Memorandum & Articles | Confirms company structure |
Board Resolution | Approves branch and manager |
Power of Attorney | Authorises branch manager |
Government Contract / Approval | Establishes eligibility, where required |
Authorised Signatures | Verifies signatories |
Passport Copies | Identity verification |
Office Lease | Confirms Oman business address |
All foreign documents need to be either apostilled or legalized along with translation into Arabic. The ministry may ask for further documents, hence this is not a complete list but a base on which you can begin.

Notes for Indian parent companies
No embassy legalization, but apostille: Since both India and Oman have signed the Hague Apostille Convention, Indian documents can be apostilled at the Ministry of External Affairs. Check for current acceptance before mailing the documents.
Match names exactly: All the documents should bear exactly the same name of the firm with the use of “private limited” and not “pvt. ltd”.
Write one strong board resolution: Take care of the branches, manager, signatures and account opening at once in one go. It will save the need for a second notarisation.
Use a certified Arabic translator: Incorrect translations are one of the most common reasons for corrections.
How to Register a Branch in Oman: Step by Step
Applications are submitted to MOCIIP via the Oman Business Platform (business.gov.om or InvestEasy). The screens may vary from time to time, but the process will remain more or less the same:
Confirm eligibility: Ensure that both the contract and the party with which you are working meet all requirements.
Prepare and certify parent documents: Notarize, apostille or legalize, then translate to Arabic. This is usually the longest stage.
Appoint the branch manager and signatories: Determine who will head the office in Oman and determine whether they have to get a work visa.
Submit the application online: Ensure that all parent details are entered accurately as stated on the documentation, choose business activities relevant to the contract, and attach both the contract and certified documentation.
Respond to the ministry’s review: MOCIIP reviews the file. Regulated activities may also need approval from another authority. Answer correction requests quickly.
Receive the branch CR: Once approved and government fees are settled, the branch’s commercial registration is issued.
Complete post-CR registrations: Join the Oman Chamber of Commerce and Industry, get the license from the municipality, register with the Ministry of Labour for recruitment purposes, register with the Tax Authority and open a corporate bank account.
Banking tip: Detailed Know Your Customer checks are performed by Omani banks on the parent company and its beneficial owners.
You should expect to furnish the CR, Board Resolution, specimens of signatures, and a structure of ownership chart. There will be a need to have one authorised signatory in Oman.

How Long Does Branch Registration Take?
There is no definitive schedule for the entire process. Once the documents are ready, the online submission can be done rapidly; however, the process will depend on:
- How fast notarisation, apostille and translation happen in the parent’s country
- Whether your activities need approval from a sector regulator, such as oil and gas or telecoms
- How quickly you respond to correction requests
- How long the bank’s KYC review takes
Almost all advisers recommend planning for about a few weeks before starting operations of your branch. Begin with preparing the documentation process when you get the indication that you have won.
Branch vs SPC vs Representative Office
A branch is one of three common ways a foreign company enters Oman. Here’s how they compare:
Factor | Branch Office | SPC | Representative Office |
Legal Entity | Not separate | Separate | Not separate |
Liability | Parent company | Limited | Parent company |
Eligibility | Qualifying foreign companies | Eligible investors | Foreign companies |
Business Activities | Approved activities | Licensed activities | Promotion only |
Duration | Approval-dependent | Ongoing | Approval-dependent |
Best For | Specific projects | Long-term business | Market research |
Branch Office or Subsidiary: Which Is Right for You?
Choosing the right structure matters for your Oman expansion. Speak with Vorx Consultancy to evaluate your business activities, eligibility and long-term plans.
Example (hypothetical): A Dubai-headquartered IT firm wins a three-year systems contract with an Omani ministry and also wants private banking clients in Muscat.
A branch would cover the ministry contract but not the private clients. An SPC set up from the start covers both and continues after the contract ends.
A simple test: Is your only Omani client a government body under a signed contract? Will your Oman work end when that contract ends? Two yes answers make a branch reasonable. Otherwise, a subsidiary gives you more room.
Compliance After Registration
Registration is the start, not the finish. A branch must:
Keep separate accounts and file corporate income tax returns: The branch is taxed in Oman as a permanent establishment of the parent.
Register for VAT if its taxable supplies cross the registration threshold.
Meet labour rules: Register staff, meet the Omanisation targets for your sector and enrol Omani employees in the national social insurance scheme.
Renew on time: Keep the CR, chamber membership and municipality licence current.
Plan the exit: When the contract ends, settle tax and labour obligations and cancel the registration. A branch left open after its project can create avoidable compliance exposure.
Indian parent companies should also review how branch profits are treated at home, including relief available under the India–Oman tax treaty, with their tax adviser.

Common Mistakes That Delay Branch Registration
- Applying with a private-sector contract that doesn’t qualify
- Company names that differ across documents
- Selecting business activities broader than the contract scope
- Using older certified documents when the authority expects recent copies
- Leaving bank-account authority out of the board resolution
- Ignoring how the branch will close when the contract ends
Final Thoughts: Is a Branch Right for You?
A branch makes perfect sense if your Omani work involves a signed government or quasi-government contract and your parent is comfortable bearing the liability.
In case you are going to be operating beyond the duration of the contract or dealing with private clients, a subsidiary would be a better choice right off the bat.
The logical course of action after that is clear: check your eligibility, and begin legalizing your documents immediately.
